Terms of Service

These Terms of Service ("Terms") govern your access to and use of the AgencyOps Telegram bot, web application, and related services (collectively, the "Service").

The Service is operated by "SHAGAHAR" LLC (doing business as "AgencyOps"), a limited liability company registered in Uzbekistan (TIN: 312 795 849, Registration No. 3123672, dated February 12, 2026) ("Operator", "we", "us", "our"). The name "AgencyOps" is a trade name used by the Operator.

By accessing or using the Service, you ("Customer", "you") agree to these Terms. If you use the Service on behalf of a company or other entity, you represent that you have authority to bind that entity and "you" refers to that entity.

1. Definitions

"Customer Data" means data you submit, upload, generate, or store through the Service, including client information, uploaded files (images, PDFs, videos, documents), approval request details, revision history, invoice data, and project metadata.

"Output" means review pages, watermarked previews, invoice pages, notifications, analytics, and any other results generated by the Service based on your inputs.

"Third-Party Services" means third-party services used in connection with the Service, including hosting providers (e.g., Railway), database providers (e.g., Supabase), file storage providers (e.g., Cloudflare R2), payment providers (e.g., Paddle), and the Telegram Bot API.

2. Eligibility and Business Use

2.1. The Service is intended for business (B2B) use by freelancers, designers, agencies, and other creative professionals managing client approvals, revisions, and invoicing.

2.2. You must be at least 18 years old and legally able to enter into a contract.

2.3. You are responsible for ensuring your use complies with applicable laws, regulations, and contractual obligations.

3. Accounts, Authentication, and Security

3.1. Account creation. To use the Service, you interact with our Telegram bot. Your Telegram account serves as your primary authentication method.

3.2. Account security. You are responsible for maintaining the security of your Telegram account and for all activity that occurs under your AgencyOps account. If you suspect unauthorized access, contact us immediately at support@agencyops.app.

3.3. Client access. Your clients access review pages and invoices via unique tokenized links. Clients do not need a Telegram account or any registration. You are responsible for sharing links only with intended recipients.

4. Service Description and Scope

4.1. AgencyOps is a workflow platform for creative professionals that helps users:

  • Send deliverables for client approval with watermarked previews via unique web links
  • Manage client feedback, revision requests, and approval status
  • Create and send professional invoices to clients
  • Manage clients and projects through a simple CRM
  • Deliver clean (unwatermarked) files to clients automatically upon approval via signed URLs

4.2. Hybrid architecture. The Service operates through a Telegram bot (primary interface for creators) and standalone web pages accessible in any browser (review pages at /r/[token], invoice pages at /i/[token]). Clients interact exclusively through web pages and do not need Telegram.

4.3. No financial advice. Invoice and payment features are tools for billing workflow. We are not financial advisors, accountants, or tax professionals.

5. Customer Responsibilities

5.1. Content. You are solely responsible for the content you upload, including ensuring you have the right to share it with your clients and that it does not violate any laws or third-party rights.

5.2. Client relationships. You are responsible for your relationships with your clients. AgencyOps facilitates the workflow but is not a party to your client agreements.

5.3. Accuracy. You are responsible for the accuracy of invoice amounts, client information, and project details you enter into the Service.

6. Acceptable Use

You agree not to:

  • Use the Service for unlawful, fraudulent, deceptive, or harmful activities
  • Share your account credentials or allow others to use your account
  • Upload malware or attempt to disrupt the Service
  • Attempt to gain unauthorized access to systems or data
  • Reverse engineer, decompile, or attempt to extract source code (except to the extent permitted by law)
  • Use the Service to distribute copyrighted content without authorization
  • Abuse file hosting for purposes unrelated to client review workflows

We may suspend or terminate access for violations.

7. Customer Data, Storage, and Security

7.1. Data storage. Customer Data may be stored and processed on servers through third-party hosting, database, and file storage providers (currently including Railway, Supabase, and Cloudflare R2).

7.2. File delivery. Uploaded files are stored in Cloudflare R2 and delivered to clients via time-limited signed URLs. Watermarked previews are generated automatically; clean files are released only after approval.

7.3. Ownership. As between you and us, you retain ownership of Customer Data. We do not claim ownership of your files, client data, or invoice records.

7.4. License to operate the Service. You grant us a limited, non-exclusive license to host, process, transmit, and display Customer Data only as necessary to provide and improve the Service and to fulfill our obligations under these Terms.

7.5. Security. We implement reasonable administrative, technical, and organizational safeguards designed to protect Customer Data, including signed URLs, watermarking, and encrypted connections. However, no method of transmission or storage is 100% secure, and we cannot guarantee absolute security.

7.6. Backups and retention. Files may be automatically deleted after review link expiration (default: 30 days). Unless explicitly described in the Service, we do not guarantee any particular backup frequency or retention period. You are responsible for maintaining copies of critical data and Output.

8. Output and No Guarantee of Accuracy

8.1. Informational tools. Invoice calculations, analytics, and other outputs are based on your inputs. We do not guarantee their accuracy or completeness.

8.2. No responsibility for business outcomes. We are not responsible for business decisions made based on Output, including invoices sent, approvals given, or any resulting financial outcomes.

9. Fees, Billing, and Payments

9.1. Free tier. The Service offers a free tier with limited features (up to 3 clients, 5 requests/month, 1 revision per request, 5MB file size limit).

9.2. Paid plans. Paid plans (Solo, Pro) unlock additional features including unlimited clients, larger file uploads, invoicing, custom watermarks, and team seats. Fees and included features are presented at checkout or within the Service.

9.3. Paddle as Payment Processor. Payments are processed by Paddle (or its affiliates). In such case:

  • Your payment transaction is processed securely by Paddle
  • Paddle may appear on your bank statement
  • Your purchase may also be subject to Paddle's terms and policies

9.4. Subscription billing.Subscriptions are billed on a recurring basis as described at checkout. You may cancel at any time through Paddle's management portal. Cancellation takes effect at the end of the current billing period.

9.5. Taxes. Prices may be exclusive of applicable taxes unless stated otherwise. Paddle may calculate, collect, and remit taxes where required.

9.6. Changes to fees. We may change fees or introduce new plans. We will provide reasonable notice as required by law prior to any price change.

9.7. Refunds. You may request a full refund within 7 days of your initial payment, for any reason, no questions asked. Refund requests after the 7-day window will not be honored. To request a refund, contact support@agencyops.app.

9.8. Chargebacks and Disputes.If you do not recognize a charge on your bank statement (it may appear as "Paddle" or "AgencyOps"), please contact our support at support@agencyops.app BEFORE opening a bank dispute. Fraudulent or unrecognized chargebacks filed without contacting us first may result in immediate and permanent suspension of your account.

10. Intellectual Property

10.1. Our IP. The Service, including software, design, branding, and underlying technology, is owned by the Operator and/or licensors and is protected by intellectual property laws.

10.2. Limited license to you. Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your internal business purposes during the term.

10.3. Feedback. If you provide feedback or suggestions, you grant us the right to use it without restriction or compensation.

11. Third-Party Services

11.1. The Service relies on Third-Party Services (e.g., Supabase for database, Railway for hosting, Cloudflare R2 for file storage, Paddle for payment processing, Telegram Bot API for bot functionality). We are not responsible for Third-Party Services, their availability, or their acts/omissions.

11.2. Your use of Third-Party Services may be subject to their separate terms and privacy policies.

12. Disclaimers

12.1. AS IS / AS AVAILABLE.The Service is provided "AS IS" and "AS AVAILABLE", without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade.

12.2. No uptime warranty. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that defects will be corrected.

12.3. No professional advice. The Service does not provide legal, tax, or accounting advice. You should consult qualified professionals for advice.

13. Limitation of Liability

13.1. Exclusion of certain damages. To the maximum extent permitted by law, in no event will we be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, business interruption, or procurement of substitute services, arising out of or related to the Service or these Terms, even if advised of the possibility.

13.2. Liability cap. To the maximum extent permitted by law, our total liability for all claims arising out of or related to the Service or these Terms will not exceed the amounts paid by you for the Service in the twelve (12) months preceding the event giving rise to the claim, or US $100 if you have not paid anything.

13.3. The limitations in this section are a fundamental basis of the bargain between you and us.

14. Indemnification

You agree to indemnify, defend, and hold harmless the Operator from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your Customer Data and uploaded files
  • Your use of the Service
  • Business decisions made based on Output from the Service
  • Your violation of these Terms or applicable law

15. Term, Termination, and Suspension

15.1. Term. These Terms apply while you access or use the Service.

15.2. Termination by you. You may stop using the Service at any time. If you have a paid plan, cancellation rules will be shown in your billing settings and/or at checkout.

15.3. Termination or suspension by us. We may suspend or terminate your access immediately if we reasonably believe:

  • You violated these Terms
  • Your use poses a security risk to the Service
  • Your use could expose us to legal liability

15.4. Effect of termination. Upon termination, your right to use the Service ceases. Unless stated otherwise, we may delete or anonymize Customer Data in accordance with our data retention practices and applicable law.

16. Changes to the Service or These Terms

16.1. We may modify the Service and these Terms from time to time.

16.2. If we make material changes to the Terms, we will provide notice by posting updated Terms on the website and updating the "Last Updated" date, and may provide additional notice as required by law. Continued use after changes become effective constitutes acceptance.

17. Governing Law and Dispute Resolution

17.1. Governing law. These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles.

17.2. Venue. Any dispute arising out of these Terms will be brought in the state or federal courts located in New Castle County, Delaware, and you consent to personal jurisdiction and venue there.

18. Miscellaneous

18.1. Severability. If any provision is held unenforceable, the remaining provisions remain in effect.

18.2. Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

18.3. Entire agreement. These Terms constitute the entire agreement between you and us regarding the Service and supersede prior agreements on the subject.

18.4. No waiver. Failure to enforce a provision is not a waiver.
